A $249 Agent Qualifies in Virginia Exactly How a $99 One Does

The Name Is a Real Asset

Almost everyone shopping this category recognizes LegalZoom, and recognition of that kind is easy to be snide about and enormously difficult to build. Two decades of operating at scale sit behind it. If a lender or an incoming partner asks who handles your filings, the answer needs no footnote, and some owners want exactly that.

$249 a Year, With Nothing Softening the First One

The registered agent seat is priced at $249 a year, renewal happens on its own without a conversation, and our July 2026 look turned up no introductory rate anywhere on the site. Year one costs what year six costs. None of that is concealed. It is simply the steepest yearly figure among the national providers we watch in Virginia.

Virginia's Eligibility List Is the Narrowest in the Country

Most of the country lets any adult resident with a street address take the job. Virginia does not, and the gap between its rule and the boilerplate on national help pages is wide enough to get an appointment rejected. Va. Code § 13.1-1015 offers an LLC three lanes and no fourth.

Lane one is insiders. An individual can hold the appointment while living in Virginia and being a member or a manager of the company. It stretches one level up the ownership chain too: a director or officer of a corporate member, a partnership member's general partner, the trustee behind a trust member, the manager of another LLC holding a member interest. Since 2016 the lane has also admitted a Virginia resident formally designated as an officer of the company, which is the lawful path for a trusted employee.

Lane two is the Virginia State Bar. Any of its members may serve, for any client.

Lane three is an organization rather than a person: a corporation of the stock or nonstock variety, an LLC, or a registered limited liability partnership, formed here or authorized to transact business here. That is the lane a commercial service such as ours occupies, and LegalZoom occupies it too. What no lane permits is naming your own company, because an entity is barred from serving as its own agent.

Notice who is missing. A friend in Richmond cannot do this as a favor. A brother across the line in Maryland is ineligible whatever you offer him. That strictness cuts against casual do it yourself arrangements, not against owners, so a Virginia resident who owns part of the LLC may lawfully take the seat.

What the Extra $150 Does Not Buy

The lanes contain no price tier. Once a provider is inside lane three, the Commonwealth's demands are identical and unmoved by the invoice: a registered office kept continuously in Virginia, the agent's own business office at that very address, and someone there through business hours to take what a process server hands over.

So compare the two columns on the only ground the state cares about. Ours is a staffed Virginia office. One superlative goes unclaimed. BetterLegal's published annual rate is $90, and $90 is less than $99, which we would rather say than have you discover. What we will say is that our figure sits near the bottom of Virginia's published range and refuses to move once you are a customer.

Plain subtraction on the recurring numbers: $249 against $99 leaves $150 every year the company stays registered.

What It Actually Takes to Replace LegalZoom on a Virginia Record

Form LLC-1016 is what does it, a statement recording a new registered office, a new agent, or the two together. It is addressed to the Office of the Clerk at Virginia's State Corporation Commission, and the fee is $0. That is not a promotion running until December. The fee statute enumerates what a Virginia LLC pays for and this filing is not on the list, and the Commission's own how to guide for the transaction ends at a total paid of $0.00.

Two routes exist, and one of them is odd. Online, you log in to the Clerk's Information System and submit the change there, where it takes effect in real time. On paper, a form exists, but Virginia does not post it for download the way most states do. You request a copy and the Commission furnishes one. The state would rather you never touched paper at all.

The filing asks for little: your entity name, whoever is stepping into the role, the lane under which that party qualifies, and a Virginia street address doing double duty as the registered office and as the new agent's own place of business. Virginia insists those be one address.

Then the sequence, which matters more than the speed. The form has a slot for an incoming agent and no slot for none, because the Commonwealth expects a registered office maintained without interruption rather than restored after one.
