Virginia business district

If your company was organized under the law of another state or country and does business in Virginia, the Commonwealth regards it as a "foreign" entity that needs a certificate of registration from the State Corporation Commission (SCC) before that business begins. A foreign LLC applies with the Application for a Certificate of Registration to Transact Business in Virginia, Form LLC1052, and naming a qualifying Virginia registered agent is part of that application.

What "Foreign" Actually Means

Virginia's LLC Act calls an LLC foreign when it was organized under any law other than Virginia's, so a company formed overseas counts the same way a Delaware LLC with a Richmond office does. Out-of-state corporations go through the SCC as well, on their own application for a certificate of authority.

The Code of Virginia never says what "transacting business" means. Section 13.1-1059 lists activities that fall outside it instead, among others:

  • Starting, defending, or settling any proceeding, a lawsuit included
  • Member meetings and any other internal business of the company
  • Bank accounts
  • Transfer offices or agencies, trustees, or depositaries for its own securities
  • Using independent contractors to make sales
  • Accepting orders, whether by mail, through employees or agents, or otherwise, that turn into contracts only once accepted outside Virginia
  • Taking on debt or creating deeds of trust and security interests in real or personal property
  • Securing or collecting debts, and enforcing the deeds of trust and security interests that back them
  • Owning real or personal property, without more
  • One isolated transaction, wrapped up within 30 days, as long as it doesn't belong to a run of repeated, similar deals
  • Producing, directing, filming, crewing, or acting in films, TV series, or commercials for under 90 consecutive days, when the footage leaves Virginia for editing and distribution
  • Serving, with nothing more, as a general partner of a limited partnership that does no other business in Virginia

The statute says the list is not exhaustive, and it plays no part in deciding whether Virginia can tax you, serve you with process, or regulate you under other laws. A Virginia office, staff working on site, and steady sales to Virginia customers are not on the list, so look hard at those and bring close questions to a Virginia business attorney.

What a Virginia Registered Agent Does for a Foreign Entity

Under section 13.1-1015, a foreign LLC registered in Virginia must keep a Virginia registered agent, plus a registered office in the state, without interruption. As your agent, we:

  • Take service of process, notices, and demands addressed to your company and send them on to you, the single duty Virginia law assigns to an agent
  • Receive the SCC's mail, since the Commission sends its communications to the registered office, including the annual registration fee assessment two months before the due date
  • Pass along tax letters, fee reminders, and other official mail
  • Keep a physical Virginia business address as your registered office, because the SCC allows a post office box only for a few tiny towns with no street addresses
  • Can be found at that office during normal business hours, as the SCC requires of every registered agent

Virginia limits who may serve. An individual agent must be a Virginia resident who is a member or manager of your LLC, or who holds a similar role in a company that manages it, or must belong to the Virginia State Bar. Otherwise the agent has to be a corporation, LLC, or registered limited liability partnership authorized to do business in Virginia, and your LLC can never be its own agent. Either way, the agent's business office is the registered office. Your application must name the agent and state how the agent qualifies, and a company left without one can have its registration canceled.

Operating before you register carries its own costs under section 13.1-1057. Your company cannot maintain a lawsuit in any Virginia court until it registers, and the same bar applies to a successor or to anyone who takes over a claim from that business. Each member, manager, or employee who knowingly does business here without the certificate faces a penalty of $500 to $5,000, imposed by the SCC after notice and a chance to be heard, and the attorney general may go to court to stop the company's Virginia business (section 13.1-1058). Contracts stay valid, the company can still defend itself in court, and by doing business here unregistered it is treated as having appointed the clerk of the Commission to accept service for it.

How to Foreign-Qualify in Virginia

An out-of-state LLC registers in Virginia in these steps:

1. Order a certified copy of your articles from your home state. Virginia does not ask for a certificate of good standing, and the SCC says it cannot accept a certificate of existence in place of what it does want: a copy of your articles of organization (or other formation document) with every amendment and correction, certified within the past 12 months by the secretary of state or other official who keeps your company's records back home. Your home state sets the price.

2. Designate a Virginia registered agent. Choose someone who meets the rules above, such as a qualifying member or manager, a Virginia attorney, or a registered agent business like ours. Check your name at the same time: it must include "limited company," "limited liability company," "L.C.," "LC," "L.L.C.," or "LLC," and it has to be distinguishable on the SCC's records from other names. If your name lacks that ending or is unavailable, you adopt a designated name for use in Virginia on the application, and operating under yet another name requires a separate fictitious name filing.

3. File Form LLC1052 with the SCC. Submit it online through the Clerk's Information System (CIS), uploading the certified copy, or mail the paper form to the Clerk's Office at P.O. Box 1197, Richmond, VA 23218-1197 (couriers deliver to 1300 E. Main Street, 1st floor). The fee for a foreign LLC is $100, and paying by card online adds no processing fee. The application asks for your name, home jurisdiction, original formation date and period of duration, any earlier Virginia registrations, principal office, registered agent and how the agent qualifies, and the registered office with its county or city, and it appoints the clerk of the Commission as a fallback agent for service. A manager or member signs; "owner" is not an accepted title. What you file becomes public.

4. Wait for approval. The SCC posts no standard processing time for this filing. When you file online, CIS may offer expedited review at the payment step, with a response the next business day for $50 or $100 or the same day for $200; paper filings cannot be expedited. Once the application is approved, the SCC issues your certificate of registration.

5. Comply with ongoing obligations. Virginia LLCs file no annual report. Every registered foreign LLC instead pays a $50 annual registration fee by the last day of the month it registered, starting 12 months after registration; the assessment goes to your registered agent two months ahead, and it cannot be paid before it is issued. A late payment adds a $25 penalty, and if the fee is still unpaid when the third month past the due date ends, the registration is canceled automatically; reinstating within five years costs $100 plus the missed fees. Amendments or mergers filed at home call for a certified copy filed with the SCC within 30 days, an amended application costs $25, and changing your registered agent is free. The SCC also points registered companies to the Virginia Department of Taxation, and to the Virginia Employment Commission when they have employees here. To leave, file an Application for a Certificate of Cancellation (Form LLC1056, $25) with a statement that your Virginia tax returns are filed and taxes paid, and file it by your fee due date to avoid owing that year's fee.

Filing fees and form names change. Check the latest form and fee with the State Corporation Commission at https://www.scc.virginia.gov/ before filing.

Why Use VA Registered Agent.org as Your Foreign Registered Agent

Ours is a Virginia registered agent service for LLCs organized in Virginia and for companies from other states that register here:

  • Our Virginia street address is listed on your registration as your registered office, rather than an address of yours
  • Court documents imaged for Virginia, so a summons or a compliance deadline does not get past you
  • Reminders for the annual registration fee and tax filings, timed to your Virginia due dates
  • $99 a year, flat, and no setup fee

Companies run from other states follow the same Virginia agent and fee rules as local ones, just from farther away, and a dependable agent in the Commonwealth closes that distance.

Or let the filing be ours. Our charge to prepare your Form LLC1052 and file it with the SCC is $199, and the SCC's $100 filing fee for a foreign LLC is paid on top of that. Included in that $199 are twelve months of Virginia registered agent service at no added cost, and the $99 yearly agent rate begins in month thirteen.
