Form your company through Bizee, which traded as Incfile for years, and agent coverage rides along inside the package for three months, or twelve, or somewhere between, depending on the tier you bought. There is no trick in that. Those opening months land exactly when a new business has the thinnest balance and the longest list of things to pay for, so any line on the invoice reading zero is worth having. If Bizee was going to organize your LLC regardless, take the included coverage and feel fine about it.

$149 Starts on a Day Nothing Else Happens

Once that included stretch closes, Bizee's standalone agent product bills $149 a year. The price is public and there is nothing underhanded about it.

The mechanics deserve more attention than the amount does. A bundled free window closes on a date your package chose for you, not on anything you would naturally notice. No filing falls due that morning. No customer emails you. The one observable event is a card being charged $149 for a service you probably stopped thinking about somewhere around month five. Benefits that expire are, structurally, the easiest expense in a business to walk into.

Virginia's Other Date Is Considerably Less Forgiving

Which brings up a second date, one with a much harder edge on it.

Virginia LLCs file no informational annual report at all. There is no yearly form listing your managers, nothing to compose, nothing to correct. What the Commonwealth wants is money: $50 a year in registration fee, payable no later than the closing day of your company's organizing month. Miss it and $25 in penalty attaches under Va. Code § 13.1-1064.

Then comes the part worth reading twice. If the fee is still outstanding when the third month after that deadline runs out, the law itself cancels your LLC's existence. No hearing convenes. No official at the Commission signs anything. Nobody exercises discretion, because there is no discretion in the sentence. The statute does it on the date, and the entity is simply over.

That is the whole argument for caring who sits in the agent seat. The assessment notice and the penalty warning both travel to the addresses in the record, so an agent forwarding slowly, or an agent address nobody has opened since formation, is how a $50 bill turns into a dead company on a fixed timetable. $99 a year. The second year is also $99, and so is the seventh. Nothing in our pricing runs out and converts into a different arrangement, which is precisely the difference between what we sell and a bundled free window.
